These Terms of Service govern your subscription to and use of the Umbra trading software ("Umbra," "the Software") provided by Umbra Trading Systems ("we," "us," "our"). By subscribing to Umbra, installing the Software, or creating an account, you agree to these terms in full. If you do not agree, do not subscribe.
"Software" means the Umbra Trading System Expert Advisor for MetaTrader 5, including any associated tools, updates, and documentation.
"Subscription" means the monthly paid subscription that grants access to the Software under these terms.
"Subscriber" means the person or entity who has entered into a Subscription and agreed to these terms.
"Licence Server" means the authentication infrastructure that verifies active Subscriptions and authorises Software operation.
"Broker Account" means a MetaTrader 5 trading account held by the Subscriber with a third-party broker, on which the Software is installed.
To subscribe to Umbra you must be at least 18 years of age, legally able to enter binding contracts, and not resident in or a citizen of any jurisdiction where automated trading software is prohibited by local law. You are solely responsible for verifying that your use of Umbra complies with the laws of your jurisdiction.
We reserve the right to decline or terminate a Subscription if we reasonably believe the Subscriber is ineligible under these terms, is using the Software for unlawful purposes, or has materially misrepresented information during subscription.
Subscriptions are billed monthly in advance. Your first payment is processed on the day you subscribe; subsequent payments are processed on the same calendar day each month. Payment is processed through Stripe and may be made by card, bank transfer, or USDC stablecoin.
The Founders tier ($149 USD/month) is available to the first 10 Subscribers only. After the Founders tier fills, subsequent Subscriptions are at the Standard tier ($299 USD/month). The Founders rate is held only while your Subscription remains continuously active; if you cancel, re-subscription is available at the Standard rate only.
You may cancel your Subscription at any time through your account portal or by contacting us. Cancellation stops future billing. Your Subscription remains active through the end of the current billing cycle, after which the Licence becomes inactive.
All payments are non-refundable. Umbra is a software product sold on a monthly basis; if you are not satisfied, cancellation prevents future charges but does not refund prior payments. This policy is stated explicitly at the point of sale.
If a payment fails, we will attempt to process it through Stripe's automatic retry sequence. During retries, and for a further 48 hours after final failure, your Licence remains fully active. After that grace period, the Licence becomes inactive and the Software will cease opening new trades. Any open positions will continue to be managed to resolution. Updating your payment method reactivates the Licence immediately.
Subscription prices are quoted in US Dollars and are exclusive of any taxes, duties, or similar governmental assessments that may apply in your jurisdiction. You are responsible for any such taxes.
Subject to your compliance with these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own personal or internal business trading activities.
Each Subscription includes one licensed installation. The installation is bound via the Licence Server to a single MetaTrader 5 account number you specify during onboarding. You may transfer an installation to a different Broker Account no more than once per calendar month by contacting support.
The Software is licensed, not sold. Nothing in these terms transfers ownership of the Software, any part of its source, or any related intellectual property.
You agree that you will not, and will not permit any third party to:
Breach of any of these restrictions results in immediate termination of your Licence without refund, and may result in further legal action.
You are responsible for maintaining the confidentiality of your Subscription credentials and Broker Account credentials. You are responsible for all activity that occurs under your Subscription, whether or not authorised by you.
Notify us promptly of any unauthorised access to your Subscription. We are not liable for losses arising from your failure to maintain credential security or from your voluntary disclosure of credentials to third parties.
Umbra does not store, access, or require your Broker Account password. The Software operates locally on your MetaTrader 5 terminal using standard Expert Advisor interfaces.
We provide support through email (kai@umbra.trading) and our Telegram channel, with a 24-hour response commitment on all enquiries, seven days per week.
Support covers: installation, configuration verification, licence management, operational troubleshooting, and general product queries. Support does not include: financial advice, trade recommendations, account-size guidance, tax advice, broker selection beyond general compatibility, or training in MetaTrader 5 or general trading concepts.
You may terminate these terms at any time by cancelling your Subscription. Your Licence remains active until the end of the current billing cycle, then terminates.
We may terminate your Subscription immediately, with or without notice, if you materially breach these terms, use the Software unlawfully, fail to pay Subscription fees (after the 48-hour grace period), or engage in conduct that we reasonably determine poses a risk to us, other Subscribers, or third parties.
On termination for any reason: your Licence becomes inactive and the Software will cease operation at its next authentication check; any open positions managed by the Software at the time of termination continue to be managed to resolution, but no new trades will be opened; you remain responsible for any fees accrued through the termination date; and provisions that by their nature should survive termination (including intellectual property, disclaimers, and liability limitations) will survive.
The Software, including all algorithms, methodologies, defence architectures (including without limitation HYDRA and its constituent layers), user interfaces, documentation, and related materials, is the exclusive property of Umbra Trading Systems and is protected by copyright, trade secret, and other intellectual property laws.
No rights are granted to you under these terms except the limited Licence expressly set out in Section 4. All rights not expressly granted are reserved.
Any feedback, suggestions, or improvement ideas you provide regarding the Software may be used by us without restriction or compensation to you.
To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
We do not warrant that: the Software will be uninterrupted, error-free, or free from security vulnerabilities; the Software will achieve any particular trading outcome, profitability, or risk profile; past performance of the Software (whether backtested, demo-traded, or live-traded) is indicative of future results; or the Software will be compatible with any specific broker, MetaTrader version, or operating environment other than those we explicitly identify as supported.
Automated trading carries substantial risk of loss, including loss of all capital. The Software is not a managed account, investment fund, or financial advisory service. Nothing provided by us — on our website, in support communications, in documentation, or otherwise — constitutes financial, investment, legal, or tax advice.
To the maximum extent permitted by applicable law, in no event will Umbra Trading Systems, its officers, employees, or affiliates be liable to you for:
In any event, our aggregate liability to you for all claims arising from or relating to these terms or your use of the Software shall not exceed the total fees paid by you to us in the twelve months preceding the claim.
Some jurisdictions do not allow limitation of certain warranties or liabilities; in those jurisdictions, our liability is limited to the minimum extent permitted by law.
You agree to indemnify, defend, and hold harmless Umbra Trading Systems and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your use or misuse of the Software; your violation of these terms; your violation of any applicable law or third-party right; or any conduct by you that results in damage to any third party.
We may update these terms from time to time. Material changes will be notified by email to the address associated with your Subscription at least 30 days before taking effect. Minor changes (including typographical corrections and clarifications) may be made without notice. The current version is always accessible at umbra.trading/terms.
Your continued use of the Software after changes take effect constitutes acceptance of the updated terms. If you do not agree to material changes, your remedy is to cancel your Subscription before they take effect.
